Board Members Present: Annette Zinky, Rand Jenkins, Laurah Hagen

Board Members Absent: Russ Rothamer, Stephanie Stackhouse

Staff Members Present: Laura Kelly, JelenannSalyers

Call to Order:  Annette Zinky called the meeting to order at 4:21 pm

Annette Zinky moves to approve the January 15thconsent agenda andDecember Minutes,Rand Jenkinsseconds, motion passes unanimously.

Executive Director’s Report-ED is trying to prioritize. She is looking at legal matters and evaluating our relationship and ongoing challenges with ADI. Spoke with Lexi about her relationship with ADI. ED will meet with Claudina this Friday in an attempt to lower the monthly invoice and clarify the issue with categorizing. Dean met with Claudina from ADI about redoing the books, spent 6 hours in Flagstaff and went to Phoenix again to meet. ED would like to be very specific with dates, deadlines and learning. Dean said Becky (previous ED) was trying her hardest to fix ADI category mistakes that were specified as needed changes by Becky, and yet never corrected. ED would like to give ADI one more chance and then shop for another company to do the accounting. Dean would like ADI to fix the budget and get it solid before we consider moving on. ED is going to focus on expenses and trying to make the school more efficient.

Dean of Academy’s Report-No discipline so far this semester. Middle school info meeting 1/27 5:30p-6:30p and High school info meeting 2/4 5:30p-6:30p. Teachers, parents, dean and ED will present. There was an incident with a drug transaction on campus with a non student. Police were called. Dean is working on 100% attendance. We’ve budgeted for 320 students and we currently have 323 students, we’d like to incentivize the kids with prizes to come out on the 100th day when we get counted by the state.

Financials- New IT was installed over the break from a family donation! Dean has bids for a wireless company. Dean will bring to next board meeting. Dean would like someone to come on campus once a week to maintain the computer carts. Annette Zinky would like to table the vote on the November financials until the books are fixed. She specifically has an issue with what is presently categorized as a loan and what she thinks is a long term liability. ED will look into this and also review all financials. ED would like to add some experience to the finance committee. Dean mentioned that teacher involvement with the committee is crucial for the teachers to understand budget constraints.

Board recruitment- We have added Stephanie Stackhouse and LaurahHagen to the board and have accepted the resignation of Ilona Anderson and Megan Zimmerman. Annette and ED will continue to search for someone with financial expertise board recruit in hopes of getting a treasurer. Annette Zinkyis questioning whether the bylaws do or do not allow parents on the board. State charter allows this. ED and Annette Zinkyfeel like the board could greatly benefit from parent participation. Annette Zinkyfeels like there should be a limit to the number of parents. ED feels like it might be instructive to lay the groundwork for new board members. Annette Zinkysuggested that we change the code of conduct.

Annette Zinky moves to accept the November 2014 financialswith the stipulation that we still need explanation on the legal expense line and previous ED’s coding change requests are finalized. RandJenkins seconds, motion passes unanimously.

Rand Jenkins moves to approve a change in officers beginning Jan 2015 withAnnette as the chair, Rand Jenkins as the vice chair, Laurah Hagen as the new secretary and Russ Rothamer as interim treasurer, Laurah Hagenseconds, motion passes unanimously.

ED would like to get the next 5 months of board meeting dates booked at next meeting.
